A Utah Annual Report is a business filing that all registered businesses operating in Utah must file each year to keep their business registration current with the Utah Division of Corporations and Commercial Code. This includes both domestic and foreign businesses. Annual reports are due at the end of your business’s anniversary month and cost $18 to file.
If you file late, but within 30 days of your due date, you must pay a $10 late fee. If you file more than 30 days late, you must reinstate your business, which requires an additional filing and a $54 fee. About the Utah Annual Report
In Utah, your annual report basically renews your business registration for another year. You can also update some information about your business without having to pay an additional fee. So, what information do you have to include and what information can you update?
Required Information
On your annual report, you’ll need to list:
- Your entity number
- Your entity type
- Your expiration date (anniversary of the date your business was formed).
You’ll also need to pay a renewal fee of $18. If you’re filing late, you’ll also need to provide your “late date,” which is the date your report became overdue (in other words, the date your report was originally due), plus the late fee of an additional $10.
What Information Can You Update?
You can update the following information about your business:
- Your business purpose
- Your registered agent and/or you registered agent’s address
- Your principal address
- Add/remove individuals
What Information Goes on the Public Record?
All of the information on your annual report, along with any changes you make, goes on the public record.
How to File Your Annual Report in Utah
The Utah Division of Corporations and Commercial Code allows you can file by mail or online. However, if you want to make any changes to the information the state has on record for your business, filing online is more convenient. The processing time is also much quicker.
File by mail:
First, find your business entity number (if you don’t know it already) by using the Utah Business Entity Search.
Then you’ll need complete the Annual Report/Renewal Form.
If you need to make changes, you’ll need to submit the Business Trust Registration Information Change Form. Although the information change form lists a filing fee of $37, when you submit the information change form with your annual report, there’s no fee.

You can check on the status of your report by calling the Corporations Information Center or by using the Utah Business Databse.
File Online:
To file online, you need to login and create an account through the Utah Division of Corporations Business Registration System.
Once logged in, you’ll need to click on “File On An Existing Business” and then search for your business. When you find your business, select it.
Then, you’ll need to select a filing type. You can choose to file with changes or without changes. From there, you can make the changes you need to (or none at all).
After entering your information, you’ll be prompted to review your answers and pay the fee.
Then you’re done!

How much does filing your annual report cost?
For most businesses, the annual report filing fee is $18. The fee for Limited Cooperative Association is only $7.
When is your Utah annual report due?
Your annual report is due by the end of the month of your entity’s anniversary. In other words, if your LLC was approved June 13th, 2024, your annual report would be due by June 30th, 2025.
What if I can’t remember my business anniversary date?
You can find your anniversary date by using the Utah Business Entity Search.
When can I file my report?
You can file your report up to 60 days before your due date.
What are the consequences of not filing my report?
If you miss the due date, you have 30 days to file before the state marks your business as “expired.” If you file during this 30-day grace period, you’ll need to pay both the filing fee ($18) and a late free of $10.
If you fail to file after 30 days, your business will be labeled “expired,” and you’ll have to reinstate your business. The reinstatement fee for both LLCs and corporations is $54. You must reinstate your business within 2 years, or you’ll be required to form a new entity.
Are foreign LLCs and corporations required to file an annual report?
Yes. Both domestic (formed in Utah) and foreign (formed outside of Utah) must file an annual report.
